1. Service Scope
AEGITz LLC provides managed IT services, cybersecurity services, and business resilience consulting to small and mid-sized businesses. Services may include endpoint management, network monitoring, security operations, incident response, backup and disaster recovery, identity and access management, compliance support, and related advisory work. Specific services, deliverables, and service levels for each client are defined in a separate signed service agreement or statement of work.

 2. Service Agreement Terms
Engagement with AEGITz requires a signed service agreement or statement of work that defines scope, term, pricing, and service levels. Changes to scope require written approval and may affect pricing. Recurring services are
 billed on a monthly basis unless otherwise stated in the agreement.

 3. Intellectual Property
Clients retain ownership of their own data, accounts, and original materials. AEGITz retains ownership of its proprietary tools, scripts, documentation templates, runbooks, and methodologies used to deliver services. Deliverables created specifically for a client transfer to the client upon full payment, excluding any pre-existing AEGITz intellectual property or third-party components.

4. Payment Structure
Fees are defined in the applicable service agreement. Recurring service fees are billed monthly in advance. Project-based work may require a deposit as specified in the statement of work. Invoices are due within the terms stated on the invoice. Late payments may result in service suspension and may incur late fees. Third-party software, licensing, and hardware costs are billed separately at cost or as defined in the agreement.

5. Service Delivery & Communication
Standard support hours and response times are defined in each client's service agreement. AEGITz communicates with clients via email, phone, SMS (where consent has been provided), and our client portal. Emergency and after-hours support is available as defined in the applicable agreement. Delays caused by client unavailability, inaccurate information, or third-party vendors may affect resolution timelines.

6. Confidentiality & Data Security
AEGITz maintains strict confidentiality of client information and implements administrative, technical, and physical safeguards appropriate to the sensitivity of the data we handle. We will not disclose client information to third parties except as required to deliver services, as authorized by the client, or as required by law. Mutual non-disclosure agreements are available upon request. AEGITz follows industry-standard security practices including least-privilege access, encryption in transit and at rest where applicable, and documented incident response procedures.

7. Termination Rights
Either party may terminate the service agreement with written notice as specified in the applicable agreement. Upon termination, the client is responsible for payment for all services rendered through the termination date. AEGITz will provide reasonable assistance with transition of services and return or secure deletion of client data as specified in the agreement.

8. SMS / Text Messaging Terms
Clients who affirmatively opt in by texting START to AEGITz's toll-free number may receive SMS messages from AEGITz for customer care purposes, including support ticket updates, service request confirmations, scheduled maintenance notifications, and responses to inbound support inquiries. SMS opt-in is standalone and is not bundled with this Terms of Service or any service agreement. SMS consent is optional and is not a condition of receiving any AEGITz service. Message frequency varies. Msg & data rates may apply. Reply STOP to unsubscribe. Reply HELP for help, or contact support@aegitz.com. Mobile phone numbers collected for SMS communications are never sold, rented, or shared with third parties for marketing purposes.

9. Liability
Services are provided "as is" without warranties of any kind, express or implied, except as expressly stated in the applicable service agreement. AEGITz's total liability arising out of or relating to the services is limited to
  the fees paid by the client to AEGITz in the three (3) months preceding the event giving rise to the claim. AEGITz is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost
  data, or business interruption, even if advised of the possibility of such damages.

10. Governing Law
These Terms of Service and any service agreement entered into with AEGITz LLC are governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising out of or relating to these terms or the services will be resolved in the state or federal courts located in Maricopa County, Arizona.
